Please note that this Webcast will be presented in Japanese only.

KPMG LLP cordially invites you to a 90-minute audio Webcast that will cover M&A and profit allocation for Japanese companies. This is the final in our four-part Transfer Pricing Webcast series for Japanese companies.

We will discuss issues surrounding M&As for Japanese companies operating in North America, mainly from a transfer pricing perspective. M&A is an effective means for Japanese multinational companies to expand their overseas footprint. It is critical for companies to understand issues surrounding each phase of the M&A transaction (such as M&A strategy, due-diligence, closing, and post-merger integration) and evaluate profit allocation of the group company based on transfer pricing rules to align with their business strategy. Joint R&D activities and re-designs of the global supply chain – both intended to generate synergies – also impact profit allocation in multinational companies. Therefore, we will examine how Japanese companies can better manage their M&A process from a business integration standpoint with a focus on transfer pricing implications. In this Webcast, we have also invited a presenter from KPMG Tax Corporation to cover perspectives from Japan headquarters.

Key discussion topics:

  • M&A goals and recent trends
  • Concept of global profit allocation
  • Issues related to M&A by phase (U.S. and Japan perspectives)
  • Case studies
